Writeline
Terms of Service
Short version. Writeline is a personal log that runs on your phone. It is free to download and free to write in, and the last 30 days are always free to read; some features need a one-time purchase, and the app shows which before you buy. It is provided as is. Your entries live on your phone, not on any server of ours, so keeping them safe is up to you — keep your own exports. Disputes are settled one-to-one in arbitration unless you opt out within 30 days, and section 16 says how.
These Terms of Service (“Terms”) govern your access to and use of the Writeline mobile application and any related website or service (together, the “Service”). By downloading, installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is provided by Spicy Ginger Labs LLC (“we”, “us”, “our”). You can reach us at spicy.ginger.labs@gmail.com.
1Eligibility
You must be at least 13 years old, or the minimum age your jurisdiction requires to consent to the processing of your personal information, to use the Service. If you are under the age of majority where you live, you confirm that you have a parent or legal guardian’s permission to use it.
2What Writeline is
Writeline is a personal log. You write one line about something that happened, optionally a second line about what you thought, and the app stores it on your device and shows it back to you.
It is a record you keep, not a source of advice. Nothing in the Service is medical, psychological, legal or financial advice, and nothing it shows you — a badge it guessed, a summary it generated, a draft it made for you — is a professional judgment about you. Decisions you make from your own log are your own.
3Your device and permissions
The Service runs on your device. It uses your device’s features — such as the camera, your photos and files, the share sheet and your map app — only when you ask it to. You control these permissions in your operating-system settings and may revoke them at any time; doing so may limit or disable parts of the Service.
You are responsible for the device you run the Service on, including operating-system updates, storage and general device security. We are not responsible for hardware problems or for data loss caused by device failure.
4License to use the Service
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use the Service on a device you own or control, for your own personal, non-commercial use.
You may not: (a) copy, modify, reverse-engineer, decompile or disassemble the Service except as applicable law permits; (b) rent, lease, sublicense, resell or otherwise commercially exploit it; (c) use it to build a competing product; (d) remove or alter any copyright, trademark or proprietary notice; or (e) use it in a way that violates applicable law or these Terms.
5Your data and backups
Your entries, photos and settings are stored locally on your device. The Service does not upload them to a server. The Privacy Policy has the detail.
Backing up is yours to do. The Service can export your log for you to keep wherever you like, and import it back. We are not responsible for data loss caused by device loss, device reset, uninstallation, operating-system behavior, or any third-party backup or storage service you send an export to.
What you write is yours. We claim no ownership of your entries or your photos, and we have no copy of them.
6Price and purchases
What is free. Writeline is free to download and contains no advertising. Writing, editing and deleting entries, and exporting and importing your whole log, are free, do not expire, and are not affected by anything in this section.
What the unlock buys. Everything you logged in the last 30 days is free to read in every way the app offers, for as long as you use it. Some features require a one-time in-app purchase; the app shows which ones before you buy.
Your log itself is never behind the purchase. Every entry you have written stays on your device whether or not you buy anything, and exporting all of it stays free.
One payment, not a subscription. The unlock is a single purchase. It does not renew, it does not expire, and we will not charge you for it again. It belongs to the Apple ID or Google account you bought it with, so it works on the other devices signed in to that account and can be restored in the app after a reinstall or on a new phone.
Who takes the money. The purchase is sold and processed by the store you installed the app from — Apple’s App Store or Google Play — under that platform’s billing terms and refund policy. The price you are shown is the store’s, in your own currency and including whatever tax applies where you are. We never receive or hold your payment details, and refunds are theirs to issue rather than ours: ask Apple through reportaproblem.apple.com, or Google through the Play Store. If you tell us about a charge you did not intend, we will help you reach them, which is the most we are able to do.
Changes to the price. We may change what the unlock costs, and we may change which features it covers in later versions. Anything you have already paid for will not be taken away from you by a later pricing change: a feature you unlocked stays unlocked, and we will not move it behind a second purchase.
7Intellectual property
The Service — its software, text, graphics, interface, design and the name “Writeline” as used for this app — is owned by us or our licensors and protected by copyright, trademark and other laws. Except for the license in section 4, these Terms grant you no right in our intellectual property.
Feedback, bug reports and feature suggestions you send us may be used without restriction and without compensation to you.
8Third-party components and platforms
The Service includes third-party open-source components, each under its own license; attributions are available in the app and in its source repository. Your use of the Service is also subject to the terms of the platform you installed it from, and anything you do with an export you share — a cloud drive, a message, a backup service — is governed by that provider, not by us.
9Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of applicable law;
- attempt to gain unauthorized access to the Service or to any system or network connected to it;
- interfere with or disrupt its operation;
- use it to record information about another person in a way that violates their rights or the law where you live; or
- present an entry or an export as an authentic record of something it is not, in order to deceive another person.
10Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TITLE, QUIET ENJOYMENT, SYSTEM INTEGRATION, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
WE DO NOT WARRANT THAT ENTRIES, DRAFTS, TYPE GUESSES, SEARCH RESULTS, SUMMARIES OR EXPORTS WILL BE ACCURATE, COMPLETE OR PRESERVED. THE SERVICE STORES DATA ON A CONSUMER DEVICE; DEVICES FAIL, ARE LOST, AND ARE RESET. KEEP YOUR OWN EXPORTS.
11Limitation of liability
Basis of the bargain. You acknowledge that the disclaimers and limits in sections 10 and 11 are essential elements of the bargain between you and us, that we would not provide the Service without them, and that they apply even if a limited remedy is found to have failed of its essential purpose.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES OR OUR LICENSORS, SUPPLIERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US, OR PAID APPLE OR GOOGLE ON OUR BEHALF, FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50; AND IN NO EVENT WILL IT EXCEED USD 100.
Time limit on claims. Any claim arising out of or relating to these Terms or the Service must be filed within ONE (1) YEAR after it accrued, or it is permanently barred, to the fullest extent applicable law permits. This shortens any longer statute of limitations that would otherwise apply.
Savings clause. Some jurisdictions do not allow the exclusion or limitation of certain warranties, damages or statutes of limitation, so some of the above may not apply to you. If any limit here is held unenforceable, it will be reformed to the minimum extent necessary to make it enforceable and the rest of these Terms will remain in effect. Nothing here limits liability that, under applicable law, cannot be limited.
Non-waivable consumer protections. Nothing in these Terms waives, limits or excludes a non-waivable right you have under the Washington Consumer Protection Act (RCW 19.86) or a similar non-waivable consumer-protection statute of your state or country of residence. Where a provision here would conflict with such a right, the right controls as to that claim and the rest of these Terms continues to apply.
12Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless us and our affiliates, members, managers, officers, directors, employees, contractors and agents from any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees and court costs) arising out of or connected with: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of another person’s or entity’s rights; or (d) your breach of any representation you made in these Terms.
13Force majeure
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, natural disasters, fire, flood, severe weather, epidemic or pandemic, war, terrorism, civil unrest, government action, labor disputes, power or utility failures, internet or telecommunications failures, failures or changes of third-party platforms (including Apple, Google or operating-system providers), or cyberattacks.
14Termination
You may stop using the Service at any time by uninstalling the app; doing so deletes your entries and photos from your device, along with any export still in the app’s own folder, so export first, and keep that copy somewhere else, if you want to keep them. We may suspend or end your access, or stop providing the Service altogether, at any time, with or without notice, including if we believe you have violated these Terms. Any provision that by its nature should survive termination does, including sections 5, 7, 10 through 13, and 16 through 19.
15Changes to the Service and Terms
We may change, add or remove features at any time, and we may update these Terms. If we make a material change we will update the date above and, where reasonable, say so in the app or on the published page before it takes effect. Continuing to use the Service after a change means you accept the updated Terms.
16Disputes and arbitration
Read this section carefully — it affects your legal rights. Except for small-claims actions, and except where you opt out within 30 days of first accepting these Terms, you and we agree to resolve any dispute by final and binding individual arbitration, not in court and not as part of any class, collective or representative proceeding. You also waive your right to a jury trial. The opt-out is at the end of this section.
Governing law. These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of the arbitration agreement in this section. Nothing here deprives you of mandatory consumer protections under the law of your country of residence.
Informal resolution first. Before filing any claim in arbitration or in court, you and we agree to try to resolve the dispute informally for at least 30 days. The party raising it sends a written description of the claim, the relief sought and their contact information — to spicy.ginger.labs@gmail.com if that party is you, or to the contact information we have for you if it is us. The 30-day clock starts when the notice is received, and the limitation periods above are paused while the process runs. This step is a condition of filing arbitration or suit; if the other side does not respond within the 30 days, the party who gave notice may proceed.
Binding individual arbitration. If the dispute is not resolved within those 30 days, any claim arising out of or relating to these Terms, the Service, our marketing or our relationship will be resolved exclusively by final and binding individual arbitration, except as the small-claims carve-out below provides. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect (adr.org) and, where applicable, its Mass Arbitration Supplementary Rules. The arbitrator, not a court, has exclusive authority over disputes about the interpretation, applicability, enforceability or formation of this arbitration agreement. The arbitrator’s award is final, and judgment on it may be entered in any court of competent jurisdiction.
Location and format. For claims under USD 25,000 the arbitration is conducted by telephone or video conference unless the arbitrator decides an in-person hearing is necessary. For claims of USD 25,000 or more it is conducted in King County, Washington, unless you and we agree otherwise. Where an in-person hearing is required, you may attend remotely on request.
Small-claims carve-out. Either party may instead bring an individual claim in a small-claims court of competent jurisdiction, so long as the claim is within that court’s dollar limit, the action stays in that court and it is brought individually. A claim that exceeds the limit, or that is removed, transferred or appealed out of small-claims court, must be brought in arbitration under this section.
Class-action and jury-trial waivers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE-ATTORNEY-GENERAL PROCEEDING, AND THAT NEITHER AN ARBITRATOR NOR A COURT MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AND WE EACH KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Thirty-day opt-out. You may opt out of the arbitration agreement and the class-action waiver in this section by emailing spicy.ginger.labs@gmail.com within 30 days of first accepting these Terms — that is, within 30 days of first installing the app, or of first opening it after these Terms take effect, whichever is later. The notice must state your full name, the email address associated with any purchase, the date you first accepted these Terms if you know it, and that you intend to opt out of binding arbitration and the class-action waiver. Opting out has no other effect: the rest of these Terms, including the jury-trial waiver and the limits in section 11, stays in force, and disputes are then resolved exclusively in the state or federal courts in King County, Washington, to whose jurisdiction you and we consent.
If a court refuses to enforce this section. If the class-action waiver is found unenforceable as to a particular claim, that claim must be brought in court on an individual basis and the rest of this section continues to apply to every other claim. If any other part of this section is found unenforceable, it is severed and the remainder stays in effect, reformed to the maximum extent applicable law permits.
17Apple App Store additional terms
If you obtained the Service from Apple’s App Store, the following also applies and, where it conflicts with the rest of these Terms, governs your use of the Service on Apple devices:
- These Terms are between you and us, not with Apple, and Apple is not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support for the Service.
- If the Service fails to conform to an applicable warranty, you may notify Apple and Apple will refund any purchase price; to the maximum extent permitted by law Apple has no other warranty obligation.
- Claims relating to the possession or use of the Service — including product-liability, regulatory-conformance and consumer-protection claims — are our responsibility, not Apple’s.
- If a third party claims the Service infringes its intellectual-property rights, we, not Apple, are responsible for investigating, defending and discharging that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as such.
18Electronic acceptance
By downloading, installing, opening or otherwise using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms, including the disclaimers in section 10, the limitation of liability in section 11, and the arbitration agreement, class-action waiver and jury-trial waiver in section 16, subject to your right to opt out of arbitration. You agree that these Terms are a legally binding agreement under applicable electronic-signature laws, including the U.S. E-SIGN Act and the Washington Uniform Electronic Transactions Act, and that you will not contest their validity on the ground that they were accepted electronically.
19Miscellaneous
Entire agreement. These Terms, with the Privacy Policy, are the entire agreement between you and us about the Service and supersede any earlier agreement or understanding on the same subject.
Severability. If a provision is held invalid, illegal or unenforceable, it is reformed and enforced to the minimum extent necessary to preserve its intent, and the rest remains in full force.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later. A waiver is effective only in a signed writing from us.
Assignment. You may not assign these Terms or any right under them without our prior written consent, and any attempt to do so is void. We may assign them, in whole or in part, without restriction.
No third-party beneficiaries. Except as section 17 states for Apple, these Terms create no third-party beneficiary rights.
Headings. Section headings are for convenience and do not affect interpretation.
